Sell-Side Transaction Readiness
SSR prepares a company’s security and IT posture for a sale process and supports it through buyer diligence to close. It is the security and IT workstream of the transaction: the documentation buyers will read, the questions buyers will ask, and the technical information the deal model depends on.
Before buyers arrive
MITG prepares the security program and its documentation for buyer review. That work includes a consolidated description of deployed controls written for a diligence reader, a record of security improvement over time, and inventory cleanup so the documented inventory matches the actual environment. It also includes a policy review with gaps documented as a dated roadmap, and prioritized remediation of the gaps most likely to surface in diligence.
The data room
MITG assembles the security portion of the data room and applies judgment about what circulates. Documents describing unremediated weaknesses are a security risk in circulation, so they are provided at the level of detail diligence requires, with sensitive detail reserved for controlled channels.
Through diligence
Written responses to buyer security questionnaires, participation in buyer advisory calls so buyers have a clear view of security leadership continuity, and preparation of your team to present the program accurately and confidently.
Deal mechanics
Support for representations and warranties insurance prerequisites, technical debt costing for the deal model, and pre-close or post-close scan planning. SSR is not investment banking, financial diligence, legal advice, or valuation.
A note on discretion
Sale processes require a higher level of discretion than ordinary engagements. MITG staffs and communicates accordingly.
